Trade Workwear & Safety Limited Terms and Conditions of Trade

1. Definitions

  • Vendor: Trade Workwear & Safety Limited.
  • Customer: The person or business buying goods.
  • Goods: Products supplied by the Vendor.
  • Order: A request by the Customer for Goods.
  • PPSA: Personal Property Securities Act 1999.

2. Orders & Acceptance

Orders must be in a form acceptable to the Vendor. Placing an Order confirms the Customer accepts these Terms.

3. Pricing

Prices are subject to change without notice. Orders are charged at the price current at the time of delivery.

4. Payment Terms

  • Cash sales must be paid in full before dispatch or at the time of purchase.
  • Credit account holders must pay by the 20th of the month following invoice, unless otherwise agreed in writing.
  • One-off or special orders may require full or partial prepayment.
  • Late payments may incur:
    • Interest at 2.5% per month (calculated daily),
    • Administration fees, and
    • Debt collection and legal costs.

5. Delivery & Risk

  • Delivery is at the address provided in the Order.
  • Any claims for transit loss or damage must be made within 7 days. 
  • Delays in delivery do not entitle cancellation or claim.

6. Ownership & PPSA

  • Ownership remains with the Vendor until full payment is received.
  • The Customer grants a security interest in the Goods under the PPSA.
  • If payment is not received, the Vendor reserves the right to recover unpaid Goods or take further action to recover the outstanding debt, including using debt collection services or legal proceedings.

7. Returns & Cancellations

  • Change-of-mind returns or exchanges must be made within 14 days of invoice date.
  • Items must be clean, unused, and accompanied by proof of purchase.
  • Custom or special-order items are not returnable.
  • Freight for returns due to Customer error is the Customer’s responsibility.
  • Cancellations require Vendor approval and may be refused if Goods have already been dispatched or customised.

8. Warranty & Liability

  • The Vendor passes on any applicable manufacturer warranties, which may vary by brand and product.
  • Claims for shortages, delivery errors, or visibly faulty Goods must be made within 7 days of delivery.
  • For warranty claims beyond 7 days, the Customer must refer to the manufacturer’s terms.
  • The Vendor’s liability is limited to repair, replacement, or refund at its discretion, and never exceeds the value of the Goods supplied.
  • The Customer is responsible for ensuring Goods are suitable for their intended use.

9. Disputes

Disputes will first be referred to mediation. If unresolved within 30 days, either party may take legal action.

10. General

  • These Terms override any conflicting Customer documents unless agreed in writing.
  • This agreement is governed by New Zealand law.
